Last updated: January 2026. Please read these Terms carefully before using nexiloatls.shop.
These Terms & Conditions ("Terms") govern your access to and use of the website nexiloatls.shop (the "Website") and any related services, content, and communications offered by Arctic Marine Fabrication Oy ("Nexiloatls," "we," "us," or "our"), a limited liability company registered in Finland, with its registered office at Hietalahdenkatu 8, 00180 Helsinki. By accessing the Website, browsing its pages, submitting a form, subscribing to our newsletter, or otherwise interacting with our services, you confirm that you have read, understood, and agreed to be legally bound by these Terms. If you do not accept these Terms in full, you must discontinue use of the Website immediately.
Nexiloatls is currently in a pre-launch phase. All product information, model specifications, depth ratings, capacities, dimensions, materials, drive systems, pricing indications, lead times, imagery, and renderings published on the Website are conceptual and indicative. They are intended to communicate our design direction and engineering principles. Final specifications of any commissioned submarine will be defined exclusively in a binding written commission contract executed between you and Arctic Marine Fabrication Oy. We reserve the right to modify, refine, or discontinue any concept, model, feature, or service at any time, without prior notice.
You must be at least 18 years old and have full legal capacity to enter into binding agreements in your jurisdiction in order to use the Website beyond simple browsing. By submitting any form, you confirm that you meet these requirements and that any information you provide is true, accurate, complete, and current.
All Content on the Website, including but not limited to the Nexiloatls name, logo, ◈ mark, model names ("Tide Mk-I," "Abyss Mk-II," "Trench Mk-III"), copy, illustrations, photography, layouts, source code, and stylesheets, is the exclusive property of Arctic Marine Fabrication Oy or its licensors and is protected by Finnish copyright law (Tekijänoikeuslaki 404/1961), EU intellectual property directives, trademark law, and applicable international treaties. No license or right of use is granted to you except as expressly stated in these Terms.
You may access and view the Website for personal, lawful, and non-commercial purposes only. The following activities are strictly prohibited without our prior written consent:
When you submit information through the contact form, newsletter signup, or any other channel, you warrant that the content you submit (a) is truthful and lawful, (b) does not infringe third-party rights, (c) does not contain malicious code, and (d) does not violate any applicable law. You grant us a non-exclusive, royalty-free, worldwide license to use the submitted content solely for the purpose of responding to your inquiry, fulfilling commissions, and complying with legal obligations.
Any submarine commission is subject to a separate written agreement executed between you and Arctic Marine Fabrication Oy. The Website does not constitute an offer to sell, a contract, or a binding quotation. Indicative pricing, lead times, or availability mentioned on the Website are non-binding. Final terms — including but not limited to scope of work, technical specifications, payment schedule, delivery, certification, warranty, training, liability, and dispute resolution — will be negotiated and documented in the commission contract.
Submarines and submersible vessels are inherently complex equipment whose safe operation requires proper training, maintenance, certification, and adherence to local maritime, environmental, and safety regulations. Nothing on the Website constitutes operational, legal, or engineering advice. Owners and operators are solely responsible for ensuring compliance with all applicable laws in the jurisdiction where the submarine is deployed and operated. Nexiloatls accepts no responsibility for unauthorized, unsafe, or non-compliant use of any submarine, third-party modifications, or use outside the parameters defined in the commission contract.
The Website and all Content are provided on an "as is" and "as available" basis. To the maximum extent permitted by Finnish and EU law, we make no representations or warranties of any kind, whether express, implied, or statutory, including without limitation warranties of accuracy, completeness, fitness for a particular purpose, non-infringement, uninterrupted availability, or freedom from errors, viruses, or harmful components. You access and rely on the Website at your own risk.
To the maximum extent permitted by applicable Finnish law, Arctic Marine Fabrication Oy, its directors, employees, contractors, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of business opportunities, loss of data, reputational damage, or any damages arising from (a) your use of or inability to use the Website, (b) reliance on conceptual information published on the Website, (c) unauthorized access to or alteration of your transmissions or data, or (d) any third-party content or conduct. Nothing in these Terms limits liability that cannot be excluded under mandatory Finnish law (e.g., for gross negligence, willful misconduct, or personal injury).
You agree to indemnify and hold harmless Arctic Marine Fabrication Oy and its representatives from any third-party claims, damages, losses, costs, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Website, or your violation of any applicable law or third-party right.
The Website may contain links to third-party websites or resources. Such links are provided solely for convenience. We do not endorse, control, or assume responsibility for the content, policies, or practices of any third-party site. Accessing third-party links is at your own risk.
Your use of the Website is also governed by our Privacy Policy and Cookies Policy, which are incorporated into these Terms by reference. By accepting these Terms, you acknowledge that you have read both documents.
We strive to keep the Website available and operational at all times, but we do not guarantee uninterrupted availability. We may suspend, withdraw, restrict, or modify all or part of the Website at our sole discretion, including for maintenance, security, legal, or commercial reasons, without notice and without liability.
We may revise these Terms from time to time. The current version will always be available at this URL with the corresponding "Last updated" date. Material changes will be communicated through a prominent notice on the Website. Your continued use of the Website following any update constitutes acceptance of the revised Terms.
Nexiloatls shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to natural disasters, war, civil unrest, strikes, supply chain disruption, governmental actions, energy shortages, or pandemics.
If any provision of these Terms is held by a competent court to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be replaced by a valid provision that most closely reflects the original intent.
These Terms, together with our Privacy Policy and Cookies Policy, constitute the entire agreement between you and Arctic Marine Fabrication Oy regarding the use of the Website and supersede any prior understandings or communications related to its use.
These Terms are governed by and construed in accordance with the laws of Finland, excluding its conflict-of-law principles and the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any dispute, controversy, or claim arising out of or in connection with these Terms shall be settled exclusively by Helsinki District Court (Helsingin käräjäoikeus), without prejudice to the mandatory consumer protection rights of natural persons under Finnish or EU law, who may also bring proceedings before the courts of their place of residence.
If you are a consumer residing in the EU, you may also access the European Commission's Online Dispute Resolution (ODR) platform at ec.europa.eu/consumers/odr, or refer disputes to the Finnish Consumer Disputes Board (Kuluttajariitalautakunta, kuluttajariita.fi). We are not, however, obliged to participate in such proceedings.
